EXHIBITOR LICENCE AGREEMENT

AusPet Industry Expo 2026

Parties

This Exhibitor Licence Agreement (Agreement) is between:

Pet Industry Association Australia (PIAA) (ACN 47 001 782 770)
of Nexus Building, Lvl 5/4 Columbia Ct, Norwest NSW 2153 (Licensor)

and

The Applicant / Exhibitor (Licensee)

Together, the Parties.

Background

A. The Licensor is the organiser of the AusPet Industry Expo 2026.
B. The Licensor grants the Licensee a limited licence to occupy and use an exhibition booth at the Event.
C. The Licensee agrees to participate in the Event in accordance with this Agreement.

Order Details

Event: AusPet Industry Expo 2026

Event Dates: 02/09/2026 to 03/09/2026

Venue: The Hordern Pavilion - Gate C/3 Driver Ave, Moore Park NSW 2021

Premises: Exhibition booth space as allocated by the Licensor

Booth Size: Standard 3m x 3m (unless otherwise specified). The Licensee may purchase and occupy multiple booth spaces, which may be combined or configured subject to approval by the Licensor.

Licence Fee: As per Clause 3 and confirmed on invoice. Final pricing is as stated on the issued invoice and supersedes all prior communications.

Deposit: 50% required to secure booth

Balance: Payable in accordance with invoice terms

Bump-in / Bump-out: As per Exhibitor Manual

Facilities: Shared access to exhibition hall, amenities, and common areas

1. Nature of Agreement

1.1 This Agreement grants the Licensee a temporary, non-exclusive licence to occupy the allocated booth space for the duration of the Event.

1.2 This Agreement does not create a lease or any interest in land.

1.3 The Licensor retains full control of the Event, venue, and floor plan at all times.

2. Booth Allocation and Confirmation

2.1 Booth allocations are made at the Licensor’s discretion.

2.2 A booth is not confirmed until payment is received.

2.3 The Licensor reserves the right to:

  • reallocate booth positions if required

  • adjust the floor plan

  • refuse, cancel, or remove any exhibitor at its discretion, including where the exhibitor does not align with the Event’s B2B positioning or target audience

3. Payment Terms

3.1 The Licence Fee is determined based on the booth type selected by the Licensee and confirmed by the Licensor:

  • Corner Booth (Front Part of Expo Entrance): $3,600 + GST

  • Corner Booth (Rear Part of Expo Entrance): $3,300 + GST

  • Standard Booth: $3,100 + GST

  • Innovation Pod: $1,400 + GST

3.2 Booth type and location are subject to availability and final allocation by the Licensor.

3.3 Discounts and Incentives

The Licensor may, at its discretion, offer qualifying discounts or promotional incentives, including but not limited to:

  • PIAA Member Discount

  • Early Settlement (14-Day Payment) Discount

  • Event Partner or Promotional Collaboration Discount

Any discounts:

  • apply only where eligibility criteria are met

  • are conditional on payment being made within the specified timeframe

  • will be clearly stated on the issued invoice

Discounts are:

  • non-transferable

  • subject to withdrawal if payment terms are not met

3.4 Pricing Adjustments

If the Licensee fails to meet the conditions of any applied discount:

  • the Licensor reserves the right to remove the discount

  • the invoice may be reissued at the original booth rate

3.5 The remaining balance must be paid in accordance with the invoice terms.

3.6 If payment is not received by the due date:

  • the Licensor may release the booth without notice

  • any deposit paid will be forfeited

  • the Licensee will have no right to occupy or exhibit at the Event

The Licensee acknowledges that no rights to occupy or exhibit are granted until payment is received in accordance with this Agreement.

3.7 The Licensee acknowledges that payment obligations are essential to this Agreement.

3.8 Booths are limited and may be released to other applicants if payment terms are not met. 

3.9 No space is confirmed until written acceptance is issued and the required payment has been received.

3.10 The Licensor reserves the right to refuse access to the Event, including bump-in, if payment has not been received in full.

4. Cancellations and Refunds

4.1 All deposits are non-refundable.

4.2 Cancellations:

  • More than 60 days prior: deposit forfeited

  • Within 60 days: 50% of total fee payable

  • Within 30 days: 100% of total fee payable

4.3 No refunds will be provided for:

  • non-attendance

  • change of mind

  • failure to comply with this Agreement

Any outstanding amounts remain due and payable even if the Licensee does not attend the Event.

5. Event Changes

5.1 The Licensor reserves the right to:

  • change event dates, times, or venue

  • modify the format or layout of the Event

5.2 If the Event is postponed or rescheduled:

  • bookings will be transferred to the new date

5.3 The Licensor is not liable for any indirect or consequential losses, including travel, accommodation, or loss of business.

6. Permitted Use

6.1 The booth may only be used for:

  • promoting products and services relevant to the pet industry

  • activities aligned with the Event’s B2B focus

6.2 The Licensee must not:

  • share, sublet, or allow any third party to use the booth without prior written approval

  • sell or promote products outside their allocated space

  • engage in misleading, unsafe, or illegal activity

7. Exhibitor Conduct

The Licensee must:

  • comply with all laws and regulations

  • comply with the Exhibitor Manual

  • not disrupt other exhibitors

  • not obstruct aisles or neighbouring booths

  • not use excessive noise, lighting, or demonstrations

  • ensure all products are safe and compliant

The Licensor reserves the right to remove or restrict any exhibitor from the Event without refund if they breach this Agreement or the Exhibitor Manual.

8. Insurance and Liability

8.1 The Licensee must hold public liability insurance of at least $5 million and provide proof at least 14 days prior to the Event.

8.2 The Licensee is responsible for:

  • its staff, contractors, and agents

  • all equipment and materials brought onsite

  • any damage caused to the venue or third parties

8.3 The Licensor is not responsible for:

  • loss, theft, or damage to exhibitor property

  • interruptions to utilities (including power, Wi-Fi or other utilities)

9. Bump-in and Bump-out

9.1 The Licensee must comply with all bump-in and bump-out times and procedures.

9.2 Failure to comply may result in:

  • loss of access

  • additional charges

  • removal of materials

10. Marketing and Media

10.1 The Licensor may:

  • photograph and film the Event

  • use exhibitor names, logos, and content for promotional purposes

10.2 The Licensee grants the Licensor a royalty-free licence to use such materials.

11. Limitation of Liability

11.1 The Licensor’s total liability is limited to the amount paid by the Licensee under this Agreement.

11.2 The Licensor is not liable for:

  • loss of profits

  • loss of opportunity

  • indirect or consequential loss

12. Termination

12.1 The Licensor may terminate this Agreement immediately if the Licensee:

  • breaches this Agreement

  • fails to make payment

  • engages in conduct that harms the Event

12.2 Upon termination:

  • all fees paid are forfeited

  • the Licensee must vacate immediately

13. Force Majeure

13.1 Neither Party is liable for failure to perform due to events beyond reasonable control, including:

  • natural disasters

  • government restrictions

  • pandemics

13.2 The Licensor may reschedule or cancel the Event in such circumstances.

14. Governing Law

This Agreement is governed by the laws of New South Wales, Australia.

15. No Exclusivity

The Licensee acknowledges that no exclusivity is granted in relation to product categories, brands, or services unless expressly agreed in writing. 


16. Data and Privacy

The Licensee is responsible for complying with applicable privacy laws in relation to any data collected during the Event.

17. Entire Agreement

This Agreement, including the Exhibitor Manual and any Special Conditions, constitutes the entire agreement between the Parties.
